Advisory, transactions and partnerships

What We Do

BTR advises governments, prime contractors, investors and emerging technology companies across the full arc of a defense opportunity – from strategy and market entry through partnership and transaction to the industrial initiatives that turn a purchase into a durable capability.

Advisory
Strategy, market entry and capability planning for governments, primes and emerging companies.

Strategic transactions and partnerships
Partner and target identification, structuring and diligence for cross-border, export-controlled deals.

Procurement and market access
Positioning for specific programs and the route from first contact to a signed agreement.

Industrial and sovereign capability
Local assembly, sustainment and the industrial initiatives that turn a purchase into a capability.

Advisory

We help governments, military organizations, primes and emerging defense companies make informed decisions in a complex environment. Capability development and business growth are rarely a matter of a single transaction. They require a clear understanding of operational requirements, emerging threats, industrial realities, sustainment demands, budget constraints and the geopolitical currents shaping the market.

Areas of advisory support include:

  • Defense modernization, force-development and capability-gap planning

  • ISR, air-defense, counter-UAS and force-protection strategy

  • Defense-industrial development and sovereign capability planning

  • Strategic sourcing and acquisition strategy

  • Logistics, sustainment and lifecycle planning

  • Cross-border defense cooperation and partnership development

  • Defense-market intelligence, counterparty assessment and decision support

The objective is to identify solutions a client can realistically acquire, finance, sustain and employ.

Strategic transactions and partnerships

As consolidation accelerates across the defense and dual-use sector, BTR supports clients from identifying a partner or target through closing and integration. Our work includes:

  • Strategic partner and acquisition-target identification and screening

  • Transaction structuring for cross-border, export-controlled deals

  • Technical, regulatory and geopolitical due diligence support

  • Post-transaction integration guidance tied to industrial and sovereign-capability objectives

This work draws directly on our team’s legal, transactional and industrial-operating background.

Procurement and market access

Where an advisory engagement or partnership matures into an acquisition, BTR supports the identification and lawful sourcing of defense and dual-use solutions across a broad international supplier base. We help clients navigate the commercial and regulatory realities of cross-border procurement while aligning supply options with mission requirements, timelines, budget and sustainment needs.

Industrial and sovereign capability

Acquisition is rarely the end state. Where the objective is sovereign capability, BTR advises on the longer arc: local assembly, sustainment planning, manufacturing upgrades, technical partnerships and the industrial initiatives that turn a purchase into a durable domestic capability, structured within applicable legal and regulatory requirements.

Compliance, risk and transaction structuring

Compliance is not a back-office function at BTR; it is embedded in how we structure opportunities. We advise on export-control pathways, end-use and end-user diligence, sanctions screening, documentation flows and transaction frameworks designed to support lawful, auditable execution from initial structuring through closing.

Registration is capability: our State Department registration allows us to sit at the table where unregistered advisors must step aside, subject to prior approval where U.S. law requires it.

BTR is registered with the U.S. Department of State’s Directorate of Defense Trade Controls under the Arms Export Control Act and the International Traffic in Arms Regulations. Where dual-use items or technologies are involved, BTR evaluates applicable requirements under the Export Administration Regulations administered by the U.S. Department of Commerce’s Bureau of Industry and Security. Our compliance framework incorporates anti-corruption and anti-bribery controls consistent with the U.S. Foreign Corrupt Practices Act.
